Terms and conditions
These terms and conditions apply to all quotes, agreements and deliveries by Audirium B.V. (Dutch Chamber of Commerce, KvK, number 73543616), unless otherwise agreed in writing.
1. Definitions
- Audirium: Audirium B.V., Tundradal 3, 3124 NG Schiedam, the Netherlands.
- Customer: the natural or legal person who enters into an agreement with Audirium.
- Services: the software-as-a-service applications, advisory services and other services provided by Audirium, including the subscriptions and one-off reports listed on the pricing page.
2. Formation of the agreement
An agreement is formed once Audirium confirms an order, subscription request or assignment in writing (including by email), or once the customer completes payment for a service.
3. Prices and payment
Current prices are listed on audirium.com/pricing and exclude VAT unless stated otherwise. Payments for one-off reports and Audirium Academy courses are processed via our payment service provider, Mollie. For subscriptions, Audirium invoices in advance per billing period, with a payment term of 14 days from the invoice date.
Audirium may adjust prices annually. A running subscription is not changed mid-term; an adjusted price applies from the next renewal, announced at least 30 days in advance.
4. Term and termination
A subscription runs for the period stated on the pricing page and is automatically renewed for the same period, unless the customer gives written notice of termination at least 30 days before the end of the current period. A one-off report or single service has no term; the agreement ends upon delivery.
5. Use of the services
The customer will use the services only for lawful purposes and in accordance with their intended functionality. It is not permitted to use the services in a way that limits availability for other customers, or to reverse-engineer the source code, except to the extent mandatory law allows this.
6. Intellectual property
All intellectual property rights in the software, content and documentation of Audirium remain with Audirium or its licensors. The agreement grants the customer a non-exclusive, non-transferable right of use for the duration of the agreement.
7. Availability and support
Audirium will make reasonable efforts to provide good availability of the services, without committing to a guaranteed percentage unless agreed in writing in a separate service agreement. Audirium will announce planned maintenance in advance where reasonably possible.
8. Liability
Audirium's liability for direct damage is, per event (a series of related events counts as one event), limited to the amount the customer paid to Audirium in the twelve months preceding the event causing the damage, with a maximum of EUR 25,000. Audirium is not liable for indirect damage, including consequential damage, loss of profit and missed savings. This limitation does not apply in case of intent or wilful recklessness on the part of Audirium.

For the processing of personal data, please see our privacy statement. Where Audirium processes personal data on the customer's behalf as part of the services, a data processing agreement applies.
10. Governing law and disputes
These terms and all agreements with Audirium are governed by Dutch law. Disputes will be submitted to the competent court in the district where Audirium is established, unless mandatory law prescribes another court.
11. Changes
Audirium may amend these terms and conditions. A change that materially affects the customer's rights or obligations will be announced at least 30 days in advance.
